Commercial Terms
Scope of Services
These Commercial Terms govern the provision of custom printed floral products, as well as services directly related thereto, supplied by Flowers Talking to business clients within the United Kingdom.
Orders and Confirmation
Flowers Talking provides the custom printing of fresh roses and selected floral products based on client approved artwork, text, branding or design specifications.
All products are made to order in accordance with written confirmation of the agreed specifications.
Production will begin only after the client has approved the final wording, artwork, quantity, rose specification and delivery details in writing, and after any required payment has been received.
The client is responsible for checking all approved names, dates, wording, logos and other design details before production.
Pricing and Payment
Pricing is agreed per project and confirmed in writing. Payment terms are defined within each confirmed order. Production timelines commence upon receipt of agreed payment.
Delivery and Risk Transfer
Flowers Talking shall not be liable for any delay or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to third-party carriers, weather conditions, supply chain disruptions or force majeure events.
Product Nature
Our products are created using fresh, natural flowers. As with all natural materials, slight variations in size, shade and form are part of their character and do not constitute a defect.
Flowers Talking supplies fresh, natural and perishable floral products.
Unless expressly agreed otherwise in writing, Flowers Talking products are not preserved products, and no representation is made that they will retain their appearance beyond the normal vase life of fresh-cut roses.
The client is responsible for suitable storage, hydration and handling after delivery or handover. Care instructions will be provided where appropriate.
Intellectual Property
All artwork remains the intellectual property of the client unless otherwise agreed in writing.
Flowers Talking will not publish or use a client’s name, logo, artwork, event details or commissioned work without prior written permission.
The Client warrants that it holds all necessary rights, licences and permissions for any artwork, logo or material supplied for printing, and shall indemnify Flowers Talking against any third-party claims arising from infringement.
Liability
Nothing in these Commercial Terms shall limit or exclude liability for death or personal injury caused by negligence, or any other liability which cannot be lawfully excluded under applicable law.
Flowers Talking’s total liability in respect of any confirmed order shall be limited to the invoiced value of that order.
Responsibility for the products transfers to the client upon delivery or collection.
As our products are natural, fresh floral items, appropriate handling and storage are essential. Care guidance is provided at the time of delivery.
Flowers Talking accepts no liability for deterioration, damage or alteration occurring after transfer of responsibility, including improper storage, environmental exposure or modification by third parties.
Governing Law
These Commercial Terms are governed by the laws of England and Wales.
Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
